Introduction & Acceptance

Axistart LLC ("we", "our", "us") operates the website axistart.com and provides marketing and human resources services. These Terms & Conditions govern your use of our website and your engagement of our services.

By accessing or using our website, or by engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services.

Our Services

We provide digital marketing and human resources services, including:

• Marketing services — social media management, Google & social advertising, branding & design, web development, marketing consultation, and reporting & analytics
• HR services — recruitment and placement only (we do not provide payroll, training, or ongoing workforce management)

Detailed descriptions of our services are available on our Services pages. Specific scope, deliverables, and timelines for each engagement are defined in the corresponding written agreement or quotation.

Engagement & Quotations

Services begin once a written agreement or quotation has been accepted by both parties. The agreed scope of work, deliverables, and timelines are defined per engagement. Any changes to the agreed scope may require a revised quotation and may affect fees and delivery dates.

Fees & Payment

Fees are as set out in the accepted quotation and are stated in Thai Baht (THB) unless otherwise agreed. Payment terms include:

• HR placements: 50% upfront, 50% upon selection
• Monthly services: billed per the agreed schedule (e.g. social media management packages require a minimum 3-month agreement)
• Advertising budget: paid separately to the relevant platforms (Meta, Google, etc.) and is not included in our service fees
• One-time services: payable as specified in the quotation

Late payments may result in a pause of ongoing work until the account is brought up to date.

Client Responsibilities

To enable us to deliver our services effectively, you agree to:

• Provide accurate and complete information, materials, and access as reasonably required
• Review and approve deliverables in a timely manner
• Ensure that any content or materials you supply do not infringe the rights of third parties

Delays in client input or approvals may extend delivery timelines accordingly.

Intellectual Property

Upon full payment, ownership of the final deliverables created specifically for your engagement transfers to you. We retain all rights to our pre-existing tools, methods, frameworks, and know-how. We may reference completed work, including client names, logos, and campaign results, as part of our portfolio and case studies unless otherwise agreed in writing.

Third-Party Platforms

Our services involve third-party platforms and tools (including but not limited to Meta, Google, Tripadvisor, and ERPNext). Their availability, policies, and performance are outside our control. We cannot guarantee specific results from these platforms, such as advertising performance, lead generation, or follower growth.

HR Placement Guarantee

Our full recruitment placements include a 2-week replacement guarantee. If a placed candidate leaves or is found unsuitable within 2 weeks of their start date, we will conduct a replacement search at no additional placement fee, subject to the terms of the engagement agreement.

Limitation of Liability

Our services are provided with reasonable skill and care. To the maximum extent permitted by applicable law:

• We are not liable for indirect, incidental, or consequential losses, including loss of profits, revenue, or business opportunities
• We are not liable for actions, omissions, or policy changes of third-party platforms
• Our total liability arising from any engagement is limited to the fees paid to us for that engagement

Termination

Either party may terminate an ongoing service engagement in accordance with the notice terms set out in the agreement. Fees for work already completed or committed remain payable. We reserve the right to suspend or terminate services in the event of a material breach of these terms.

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from these terms or from our services shall be subject to the exclusive jurisdiction of the courts of Phuket, Thailand.

Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes in our services, business practices, or legal requirements. Any changes will be posted on this page with an updated revision date. We encourage you to review these terms periodically.
